We provide services including SEO, Social Media Optimization (SMO), Social Media Marketing (SMM), Pay-Per-Click (PPC), Website Design & Development, Content Marketing, Performance Marketing, and Online Reputation Management.

2. Acceptance of Terms

By engaging our services, submitting a contact form, making a payment, or using our website, you acknowledge that you have read, understood, and agree to these Terms & Conditions and our Privacy Policy.

3. Services Offered

We offer comprehensive digital marketing solutions. The scope, deliverables, timelines, and pricing for each project will be defined in a separate proposal, quotation, or service agreement. Any changes to the agreed scope will be subject to additional charges.

4. Client Responsibilities

To ensure timely and successful delivery, you agree to:

  • Provide timely access to your website, hosting, CMS, Google Analytics, Search Console, ad accounts, and social media profiles.
  • Provide accurate business information, content, images, and feedback.
  • Ensure that your website content and business practices comply with all applicable laws.
  • Not request any black-hat, unethical, or illegal marketing practices.

5. Payment Terms

  • All services require advance payment unless otherwise agreed in writing.
  • For monthly retainer services (SEO, SMM, PPC Management), invoices are raised monthly.
  • For Website Design & Development, 50% advance is required to start work and 50% before going live.
  • Payments can be made via UPI, Bank Transfer, or other methods shared in the invoice.
  • Late payments beyond 7 days may result in pausing of services and may attract a late fee of 1.5% per month.

6. Refund and Cancellation Policy

Due to the nature of digital services, once work has commenced, payments are non-refundable. If you wish to cancel a monthly service, you must provide 30 days written notice. No refund will be provided for the current billing cycle. Ad spend paid to Google, Facebook, or any third-party platform is non-refundable.

7. No Guarantee of Results

We follow 100% White Hat SEO strategies. While we strive for #1 rankings and maximum ROI, we do not guarantee specific rankings, traffic, leads, or sales. Search engine algorithms, ad platform policies, and market competition are beyond our control. Performance estimates are based on past experience and are not binding.

8. Intellectual Property Rights

  • Upon full payment, all final website design files and content created by us for you will become your property.
  • All pre-existing materials, tools, frameworks, and proprietary methods used by Bharat Digital Marketing remain our intellectual property.
  • We reserve the right to showcase your project in our portfolio, case studies, and marketing materials unless otherwise agreed.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

10. Third-Party Tools and Platforms

Our services may involve third-party platforms like Google, Facebook, Instagram, LinkedIn, hosting providers, etc. We are not responsible for any changes in their policies, downtime, or account suspensions. Any third-party costs (domain, hosting, plugins, stock images, ad spend) will be borne by the client.

11. Limitation of Liability

To the fullest extent permitted by law, Bharat Digital Marketing shall not be liable for any indirect, incidental, consequential, or loss of profit damages. Our total liability for any claim arising from our services shall not exceed the amount paid by you for that specific service in the last one month.

12. Termination

We reserve the right to suspend or terminate services immediately if you breach these terms, engage in abusive behavior, or fail to make timely payments. Either party may terminate a monthly retainer with 30 days written notice via email.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh.

14. Changes to Terms

We may update these Terms & Conditions from time to time. The updated version will be posted on this page with a revised “Last Updated” date. Your continued use of our services after changes constitutes acceptance of the new terms.
